SPV Accounts

What is an SPV property company, and what does it have to do each year?

Last checked against the sources on

A property SPV (special purpose vehicle) is the everyday name for a limited company set up to own and let property, often with a mortgage. It is an ordinary private limited company in law, so each year its directors must prepare accounts, file them at Companies House, and send HMRC a Company Tax Return.

The name is informal

“SPV” is not a legal category. Companies House sees a private company limited by shares. What makes it a property SPV is what it does: it owns residential property and lets it out, and usually does nothing else.

The yearly work

  1. Prepare accounts for the financial year. GOV.UK says the directors of every company must prepare them.
  2. Have the board approve the accounts, and a director sign the balance sheet on the board’s behalf.
  3. File the accounts at Companies House within 9 months of the end of the financial year.
  4. Send HMRC a Company Tax Return within 12 months of the end of the accounting period, and pay any Corporation Tax usually 9 months and one day after it ends.

How SPV Accounts helps

SPV Accounts is built for exactly this kind of company. You upload the bank statements, confirm what each line was for, and it prepares the accounts and the tax return for the directors to approve.
